Mohsen advises founders, family offices, fund sponsors, and investors on complex legal and tax matters involving domestic and cross-border wealth and investment structuring.
Mohsen Ghazi’s practice sits at the intersection of private client services, investment funds, and tax planning. He helps clients form and restructure family offices; design trust, investment, and ownership structures; and organize private investment, fund, and co-investment platforms in a manner that aligns tax efficiency, governance, investment flexibility, and long-term family and business objectives.
Mohsen has significant experience in structuring inbound and domestic investments in real estate, infrastructure, REITs, registered funds, and other real asset and alternative investment platforms. Clients often engage Mohsen as strategic outside counsel as they build, restructure, or expand family offices, investment funds, and ownership structures.
Mohsen brings an operator’s perspective from inside the institutions he now advises, with practical experience balancing legal, tax, investment, and business considerations. He previously served as managing director and deputy general counsel of a multifamily office and asset manager with more than $70 billion in assets, where he led product structuring and strategic transactions. He earlier served as general counsel of a registered fund focused on private equity secondaries with more than $1 billion in assets. He contributes regularly to Tax Notes, Crain Currency, the National Law Journal, and Family Wealth Report.
