Elliott advises clients on a variety of corporate and securities transactions, including initial public offerings (IPOs), follow-on offerings, at-the-market offerings, confidentially marketed public offerings, and private investment in public equities, as well as spinoffs, subsidiary IPOs, and M&As. He also represents clients in special purpose acquisition company-related transactions, including back-end business combinations. Elliott helps companies prepare to go public and manage corporate governance and compliance with federal securities laws, including the Sarbanes-Oxley Act and the Dodd-Frank Act.
