Caitlin serves as a trusted adviser to emerging and late-stage companies, from formation through exit, on a wide range of corporate and transactional matters. She also represents investors in emerging growth companies, including VC funds, strategic investors, and corporate venture groups.
Caitlin Hoeberlein's transactional practice includes entity formation, equity and debt financing, corporate governance, strategic investments, tender offers, secondary transactions, and commercial agreements. Drawing on her experience in accounting and finance at both startups and public companies, Caitlin offers her clients practical, commercially minded advice. She counsels companies and investors in AI; robotics; consumer products; cryptocurrency; healthcare; media, industrial, and educational technology; space; and other high-growth industries.
Caitlin also has experience counseling and defending businesses—from startups to Fortune 500 companies—in the retail, entertainment, gaming, software, internet, food and beverage, and advertising industries. She has advised clients on consumer protection and regulatory compliance issues, as well as IP matters with a focus on content licensing, sponsorship, confidentiality and nondisclosure, and rights of publicity.
Caitlin maintains an active pro bono practice focused on upholding constitutional rights and providing relief for people involved in the criminal justice system. She was, for example, part of a legal team that secured the release of a juvenile offender after 20 years in prison. She and her team also successfully argued in front of the Oklahoma Pardon and Parole Board to recommend clemency for a death row inmate.
Caitlin graduated from Harvard Law School, where she served as co-editor-in-chief of the Harvard International Law Journal and president of the HLS Negotiators. During law school, Caitlin interned at the U.S. Securities and Exchange Commission (SEC) and served as a judicial intern for the Honorable F. Dennis Saylor IV, chief judge of the U.S. District Court for the District of Massachusetts. Before her legal career, Caitlin earned her Certified Public Accountant license and a Certificate of Accounting from the University of Washington.
