Andrew Kuettel brings more than a decade of transactional experience. He partners with clients nationwide and internationally on a variety of corporate and financial matters, with particular depth in M&A, joint ventures, data center development, project financings, equity and debt financings, lending transactions, and business formations. Drew is known for quickly understanding each client’s specific business objectives, industry dynamics, and risk tolerance, enabling him to craft deal structures and legal strategies that are both commercially practical and legally sound.
Drew has built a leading practice at the heart of the data center boom, guiding hyperscalers, developers, sponsors, and capital providers through the full life cycle of data center projects, with particular knowledge in joint venture structures. He advises on the structuring, negotiation, and documentation of the complex joint ventures that bring these projects to life, designing governance frameworks, capital contribution structures, and distribution waterfalls that align the interests of developers, equity investors, and other stakeholders.
Drew’s data center experience spans transactions representing multiple gigawatts (GWs) of aggregate capacity, including individual campus and facility deals ranging from tens of megawatts (MWs) to multiple GWs of load. Because data center projects sit at the intersection of real estate, energy, and infrastructure, Drew draws on his cross-disciplinary background to support power procurement, site development, and financing considerations into cohesive deal structures.
Drew advises clients on the structuring, negotiation, and documentation of complex joint ventures across multiple asset classes and industries. His joint venture experience includes representing sponsors and investors in connection with data centers, renewable energy projects (wind, solar, and biogas), multifamily and commercial real estate developments, investment fund formations, and other industrial ventures. He understands the nuances of aligning multiple stakeholders with differing priorities and works to build governance and economic frameworks that promote long-term success and predictable and smooth exits.
Drew has experience in all aspects of M&As, from initial strategy and letter of intent negotiations through due diligence, definitive documentation, and closing. He has guided buyers and sellers through transactions involving companies across the globe and spanning a diverse range of industries, including energy, data centers, healthcare, manufacturing, telecommunications, and cybersecurity. His hands-on approach ensures his clients are well-informed and well-positioned at every stage of the deal process. On the buy and sell side, his work has included packaging companies, healthcare services and medical practices, homebuilders, various manufacturers, auto glass repair and calibration businesses, behavioral health services, cybersecurity companies, and telecommunications and internet service providers.
Drew regularly represents clients in debt and equity financings, including in the data center infrastructure and renewable energy sectors. His finance knowledge includes numerous tax equity financings involving renewable energy projects, including solar, wind, and biogas, as well as tax credit transfer transactions.
Drew represents broker-dealers and emerging company issuers in private capital-raising transactions, advising on federal and state securities law compliance and drafting private placement memoranda and other transaction documents and agreements.
Beyond transactional work, Drew provides ongoing general business counseling on entity formation and governance. He advises entrepreneurs, family offices, and established businesses on organizational structures, governing documents, and other foundational business matters.

Drew has significant experience representing developers, sponsors, and hyperscale operators in the acquisition, development, and financing of data center projects and the powered land, interconnection rights, and energy assets that support them. Representative matters include:
- Representing a developer in the acquisition of project company and powered land supporting up to 1.98 GW of interconnection for data center development
- Representing a developer in joint venture to construct a hyperscale data center supported by approximately 1.25 GW of power
- Advising a developer in a joint venture involving acquisition and development of a site with 300 MW of committed utility power
- Representing a sponsor in programmatic joint venture to develop and operate a portfolio of data center projects and power solutions
